Terms of Service

These terms are an agreement between you and Alpha Strat Company ("Alpha Strat", "we", "us") for your use of Alpha+, including alphastratai.com, the Alpha+ Field phone app and the Alpha+ desktop app (together, "Alpha+"). If you use Alpha+ for a business, you agree to these terms for that business and confirm you are allowed to. If you do not agree, do not use Alpha+.

1. Your account

You must give accurate information when you sign up and keep your password secure. You are responsible for what happens under your account and for the teammates you invite. Tell us right away at the email below if you think your account has been misused. You must be at least 18 to create an account.

2. Your data

The records, files and messages your business puts into Alpha+ ("Your Data") belong to your business. You give us permission to store, process and transmit Your Data only as needed to provide and support Alpha+, as described in our Privacy Policy. You are responsible for having the right to use Your Data, including your clients' contact information.

3. Acceptable use

You agree not to:

• break any law, or use Alpha+ to harm, harass or defraud anyone;
• send spam, or send texts, emails or calls to people who have not agreed to receive them;
• upload content you do not have the right to share, or anything unlawful or malicious;
• try to access other businesses' data, or break, overload, copy or reverse-engineer Alpha+;
• resell Alpha+ without our written permission.

4. Texting, email and calls

When you contact people through Alpha+, you are the sender. You are responsible for getting the consent the law requires (including under the Telephone Consumer Protection Act and CAN-SPAM), honoring opt-out requests such as replies of STOP, and following phone carrier rules. We may pause messaging that looks like spam or that carriers flag.

5. Ally, the AI assistant

Ally can draft messages, look things up, update records and do other work you ask for. AI can make mistakes. Review Ally's work before you rely on it, especially anything sent to clients or involving money. Ally asks for your approval before certain actions, such as most messages to clients and any payment. You are responsible for the actions you approve.

6. Connected services

Alpha+ can connect to services run by other companies, such as Google, Stripe and your suppliers' websites. Your use of those services is governed by their own terms. We are not responsible for them, and a connected service may change or stop working with Alpha+.

7. Payments

Paid plans are billed in advance as described when you subscribe, and renew until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are at our discretion, except where the law requires them. When your business takes payments from its clients through Alpha+, those payments are processed by Stripe under Stripe's terms, and processing fees apply as shown in Alpha+. We may change prices with at least 30 days' notice.

8. Our software

Alpha+ and everything in it, other than Your Data, belongs to Alpha Strat. We give you a limited right to use Alpha+ for your business while your account is in good standing. If you send us feedback or ideas, we may use them without owing you anything.

9. Changes and availability

We are always improving Alpha+ and may add, change or remove features. We work to keep Alpha+ available but cannot promise it will always be uninterrupted or error-free.

10. Ending your use

You can stop using Alpha+ at any time. We may suspend or close an account that breaks these terms or puts other users or Alpha+ at risk, and will tell you when we reasonably can. After an account is closed, you can ask us for a copy of Your Data for 30 days; after that we may delete it.

11. Disclaimers

Alpha+ is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the fullest extent the law allows, Alpha Strat will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to Alpha+ is limited to the amount you paid us for Alpha+ in the 12 months before the claim arose.

13. Indemnity

You agree to defend and hold Alpha Strat harmless from claims by others arising from Your Data, the messages you send through Alpha+, or your breach of these terms.

14. Changes to these terms

We may update these terms. When we make a material change, we will update the date above and let account owners know. Continuing to use Alpha+ after a change means you accept the updated terms.

15. General

These terms are governed by the laws of the state where Alpha Strat Company is organized, without regard to its conflict-of-laws rules. If any part of these terms cannot be enforced, the rest stays in effect. Not enforcing a part of these terms is not a waiver of it. You may not transfer these terms without our consent.
